General Terms and Conditions (GTC)

for the events of HALLE MESSE GmbH

1. organizer

The organizer is HALLE MESSE GmbH,
Messestraße 10, 06116 Halle.

2. registration

  1. Registration for an event of HALLE MESSE GmbH is made using the registration form belonging to the event or the offer for the event confirmed in writing.
  2. Upon registration, the flat-rate service fee is charged as a basic participation fee and for catalog entry and supplementary services, plus the stand rental fee.
  3. In the event of registration after the date stated in the supplementary conditions, the stand space prices shall be increased by 15 %.
  4. By registering, the applicant acknowledges the Terms and Conditions in all parts and expressly agrees to the legally permissible forwarding of exhibitor data to service providers associated with the trade fair for the purpose of successfully organizing the trade fair.
  5. By signing the registration form, the applicant acknowledges the legal, labor, trade and fire regulations as well as the house rules.

3. admission (acceptance of the application)

  1. The contract is concluded after written registration or confirmation of an offer by the organizer by the written order confirmation of the organizer (admission or invoice) (simple postal delivery is sufficient).
  2. The organizer shall decide on admission and allocation of places. Registration does not constitute a legal claim to participation.
  3. The organizer may restrict the event to certain exhibitor, product or visitor groups. Exclusion of competitors cannot be demanded.
  4. The range of exhibits on offer is basically determined by the nomenclature and the title of the event. An offer that contradicts the character or level of the event can be excluded - even during the event. Claims of the organizer against the exhibitor remain unaffected.
  5. Goods that have not been registered or approved may not be exhibited.
  6. The organizer may also refuse admission without giving reasons or make it dependent on advance payment of the stand rental.
  7. The organizer is responsible for the catering organization. The offering of catering products for a fee is only possible with the written consent of the organizer on the basis of compliance with the legal regulations.

4. changes - force majeure

  1. If the event cannot take place for reasons of force majeure, the exhibitor may be charged up to 1/3 of the stand rental fee for general cost compensation. Additional chargeable ancillary costs are due in full.
  2. The organizer may cancel, shorten or postpone an event for demonstrably compelling reasons. In the event of postponement, the exhibitor may claim release from the contract if there is a date overlap with another event that has already been firmly booked. In the event of a shortening of the event, no release from the contract is possible. A reduction in the stand rental fee will not be granted. Claims for damages are excluded for both parties in any case.

5. rent, orders

  1. The prices for the flat-rate service fee, stand rental and ancillary costs can be found on the registration form.
  2. Prices for services that are not included can be requested from the organizer and are not part of this contract, but require additional written agreements. The terms and conditions also apply to all orders placed on the registration form or subsequent order forms.
  3. The rental prices quoted are for the duration of the event.
  4. If the price of an individual cost element (e.g. one or more preliminary products) changes by more than 5% within one year before the respective trade fair, the price of the end product shall also change, but only to the extent that the price change for the respective preliminary product has a proportionate effect on the price of the end product.
  5. All prices are subject to statutory VAT.
  6. The rental items (system stands and furniture) may not be nailed, painted or damaged in any other way.
  7. Hired furniture must be cleared out and handed over on the evening of the last day of the event. No liability is accepted for items left behind in the rented furniture by the exhibitor. The hirer is liable for damage and loss from delivery to return, even if he has already left the stand. Missing or damaged rental items will be charged at the replacement price.
  8. The prices stated in applications and order forms for the trade fair (incl. surcharges for late applications) apply up to 3 weeks before the 1st set-up day. Orders placed after this date and up to 14 calendar days before the 1st set-up day will be subject to a surcharge of 10% on the list price. Orders placed less than 14 calendar days before the 1st set-up day will only be accepted subject to reservation. If the repeat order can be carried out, it will only be carried out against cash payment at the exhibition office and with a 20% surcharge. Repeat orders at the exhibition office require a 30% surcharge if the ordered items are available.
  1. Cancellations of technical orders and equipment are possible free of charge up to 15 calendar days before the 1st set-up day.
  2. The organizer is entitled to make equivalent replacement deliveries in the case of articles that cannot be delivered (stand construction, accessories).
  3. Complaints concerning the exhibition stand (space, stand construction, orders) must be reported immediately to the exhibition office on site. Subsequent claims for recourse cannot be recognized.

6. stand allocation

  1. The stand allocation is carried out by the organizer in fixed halls and, if necessary, in additional tent halls to be erected according to the concept of the event. The date of receipt of the registration is irrelevant. The placement is the responsibility of the organizer. Requests will be considered if possible.
  2. The exhibitor shall receive a site/hall plan and stand number prior to the event. Complaints or requests for changes to the stand location must be made in writing within 5 working days; in the case of registrations at short notice (from 14 days before the 1st day of the event), a maximum period of 2 days applies. After these deadlines have expired, complaints about the stand location are no longer possible. The location of the stand or changes are deemed to have been accepted (see also item 6 a).
  3. A stand may only be relocated for compelling reasons. The exhibitor concerned may not withdraw from the contract for this reason.
  4. The organizer is entitled to make changes to the layout of the exhibition grounds, entrances and exits. The exhibitor shall not be entitled to any claims following such changes.

7. co-exhibitors, additionally represented companies, subletting, transfer to third parties, joint stands

  1. Exhibitors are not permitted to sublet the stand allocated to them, to share it with other companies, to exchange it or to transfer it in whole or in part.
  2. The co-exhibitor fee (see application form) is payable upon the approved admission of a co-exhibitor (represented on the stand by personnel). The co-exhibitor is listed in the official directories of the event and receives access cards and advertising material. Co-exhibitors who have not been registered with the organizer in advance and have been identified will pay a late registration fee of 30 % on site in addition to the co-exhibitor fee due.
  3. Additionally represented companies (manufacturers) are represented on the stand by goods, services or printed matter (without their own personnel). A fee is payable for entry in the official trade fair publication (see application form).
  4. Unauthorized subletting entitles the organizer to charge an additional 50% of the stand rental fee, unless it is necessary to vacate the space occupied by the subtenant.
  5. If a stand is rented to several exhibitors, each of them shall be jointly and severally liable. In the case of joint stands, the organizer must be notified of an authorized representative. This person shall be deemed to be the negotiating partner and notifications to him shall apply to all exhibitors on the joint stand.
  6. A processing fee of € 52.00 plus VAT per co-exhibitor will be charged for cancellations of co-exhibitors.

8. invoicing, terms of payment

  1. Exhibitors generally receive an invoice after or together with admission. Both can be sent in electronic form. A down payment of 50% must be made in accordance with the date stated on the invoice (14 days after the invoice date). The remaining 50% and any subsequent invoices must be paid no later than 4 weeks before the event. The exhibitor is responsible for providing the correct invoice address - subsequent changes will incur a processing fee of € 40.00 plus VAT. Invoices issued later than 6 weeks before the start of the event are due in full immediately. As a general rule, all payments must be credited to the specified account by the start of the trade fair. Default shall commence at the end of the day noted on the invoice as the last payment date. A lump sum of € 5.00 will be charged for each reminder. In the case of short-term payments, valid proof of payment (bank statement) must be presented to the exhibition office for set-up. In the event of cash payment of invoices, any interest on arrears and/or reminder fees at the trade fair office, a processing fee of 1% of the invoice amount, but at least € 10.00, will be charged.
  2. In the event of late payment, interest shall be charged on outstanding claims at the default interest rate regulated by § 288 BGB.
  3. For all unfulfilled obligations arising from the contract, the organizer may assert a lessor's lien on the exhibition objects brought in. If costs are incurred as a result, e.g. due to storage or transportation of the goods, these amounts will be charged to the exhibitor.

9. termination of contract

  1. The written confirmation of contract (admission or invoice) following written registration is binding (fulfillment of contract). The exhibitor may not unilaterally withdraw from the contract. If the contract is not terminated by mutual agreement and the exhibitor fails to fulfill his obligation to occupy the stand, he shall be obliged to reimburse the costs of additional expenses (e.g. decoration) in addition to fulfilling the contract (items 100 - 999 of the registration form).
  2. If the exhibitor fails to make payments due in accordance with Item 8 a in full or in part despite a reminder and the expiry of a grace period of 10 days, the organizer shall be entitled to withdraw from the contract. In this case, the organizer may demand compensation from the exhibitor in the amount of 100% of the stand rental (items 100 to 199 of the registration form), unless the organizer can prove higher damages or the exhibitor can prove lower damages. After withdrawal from the contract, the organizer is entitled to re-let the space previously rented by the exhibitor. If this is done, the exhibitor must still pay 25% of the contract value. However, the exhibitor shall remain obliged to pay 100% of the stand rental (items 100 to 199 of the registration form) if and insofar as there are unrented exhibition spaces in the exhibition area during the event that could have been used by the subsequent tenant, provided that the exhibitor would have participated in the event in accordance with the contract and the subsequent rental is made to maintain the overall visual appearance.
  3. If the organizer agrees to the amicable cancellation of the contract by concluding a cancellation agreement, the organizer shall be entitled to demand compensation from the applicant in the amount of 25% of the contract value for cancellation up to 20 weeks before the start of the event, 50% of the contract value for cancellation up to 15 weeks before the start of the event and 100% of the contract value for cancellation after this time.
  4. In the event of amendments to the contract involving the cancellation of space, the same conditions shall apply as in the event of termination of the contract in accordance with clause 9 c for the canceled space.

10. design of the stand

  1. Only full meters/square meters can be rented as stand space.
  2. The stand space prices stated in the order form do not include partition walls and equipment. Each exhibitor is obliged to equip his stand with partition walls and floor covering. These can be ordered through the organizer. Displays are not fully-fledged stand systems, as complete separation from the neighboring stand is not guaranteed. However, it may be possible to place a display without a stand system with the written approval of the organizer.
  3. The maximum height for own stand systems is 3.00 meters. Company logos may exceed this height by a maximum of 40 cm. Higher structures are subject to approval. Two-storey stands also require the approval of the organizer. If such a stand is approved, the stand rental fee will be increased by 50%.
  4. The use of own system stands or suspensions must be stated in the application. A scaled stand construction sketch must be submitted to the organizer up to 6 weeks before the start of the fair. The organizer must be notified of any contracted stand construction companies. Suspensions from the hall ceiling may only be carried out by the organizer's approved companies. Only materials with B1 certificate (flame retardant) may be used. The organizer may have non-approved exhibition stands altered or removed, if necessary at the exhibitor's expense. If a stand has to be closed for these reasons, there is no entitlement to a refund of the stand rental fee or compensation.
  5. The name and address of the exhibitor must be clearly displayed on the stand for the entire duration of the event.

11. installations, heating

  1. General lighting and heating shall be at the expense of the organizer.
  2. All installations at the event, such as electricity, water, sewage, telephone and data lines, may only be installed by the organizer or companies approved by the organizer. Connections and equipment that do not comply with safety regulations or whose consumption is higher than registered may be removed at the exhibitor's expense. The exhibitor shall be liable for any damage caused by installations carried out by himself.
  3. The applicable conditions for technical connections can be found in the application or order form. The use of connections and installations other than the stand's own is not permitted. Unauthorized redistribution to other exhibitors is prohibited.
  4. The organizer is not liable for fluctuations or interruptions in the supply of electricity, water, gas or compressed air.

12. structure

  1. Exhibitors must register with the organizer at the exhibition office before setting up their stands.
  2. Stands may only be set up within the times specified for this purpose (see addendum to the General Terms and Conditions). The exhibitor is obliged to complete his stand within this time.
  3. In the event of non-compliance with the stand construction times, the stand space may be reallocated by the organizer after a one-time reminder with a deadline for completion of the stand construction if the construction is not completed within the specified period. This does not release the exhibitor from his obligation to pay the stand rental and ancillary costs in full. Claims for damages are excluded.
  4. If an exhibitor does not arrive, all claims arising from the fulfillment of the contract shall remain valid. The organizer reserves the right to charge for any additional expenses incurred (rescheduling, decoration, etc.).
  5. Ordered rental stands and rental furniture must be checked for proper set-up and completeness (handover protocol); defects must be reported immediately. The customer shall be liable for losses and damage after handover.

13. access and parking cards

  1. After confirming their registration, exhibitors will receive the order forms for access tickets and parking permits before the start of the fair. These cards will be handed out at the exhibition office during set-up or sent in advance by registered mail for a fee, provided that all exhibition invoices have been settled. Only with the access cards is it possible to enter the exhibition grounds during the trade fair.
  2. Access for exhibitors to the exhibition halls from two hours before the official opening times is only possible with an access card via designated exhibitor entrances or gates to the outdoor area. With invitation cards, access is only possible via visitor entrances from the start of the event (see opening times).
  3. Loading and unloading on the grounds during the event is possible for a deposit of € 50.00 in cash/vehicle for a maximum of 30 minutes.

14. entry regulation

The length of stay on the exhibition grounds can be limited to a maximum of 2 hours for cars or trucks during set-up. This is regulated by depositing € 50.00 at the entrance. During the event, this deposit regulation applies to exhibitors without a parking permit for a maximum of 30 minutes. If the authorized duration of stay is exceeded, € 25.00 will be retained for each half hour or part thereof (exceptions are subject to approval by the trade fair management).

15. operation of the stand

  1. The exhibitor is obliged to keep the stand manned for the entire duration of the event.
  2. The instructions of the organizer must be followed. Gross violations of the applicable legal provisions, the terms and conditions or the usual dealings with visitors and exhibitors entitle the organizer to close and clear the stand. Claims against the organizer are excluded in this case.
  3. Measures that could distort competition, disrupt the event or the general public (e.g. the operation of lighting and sound systems, loud activities, use of flying objects, emissions, etc.) require the prior written approval of the organizer. Exhibitors who operate systems and equipment that cause emissions are obliged to install tested and approved exhaust air and extraction technology at their own expense. Advertising outside the stand, in particular the distribution of printed advertising material, is only permitted with the written approval of the trade fair management and is subject to a charge. Exhibits filled with special gases or the distribution of gas-filled balloons is not permitted.
  4. The exhibitor is responsible for complying with all legal regulations, conditions imposed, GEMA and other registrations associated with the event and the operation of the stand and expressly releases the organizer from all obligations.
  5. Express reference is made to compliance with BGV A 3 (electrical installations and equipment/especially periodic inspections of mobile equipment) and BGV D 34 (use of liquid gas). The presentation of the current test certificates is required for on-site inspections by the trade supervisory office.
  6. Unless otherwise indicated, smoking is prohibited throughout the exhibition grounds.
  7. The general cleaning of the grounds is the responsibility of the organizer. The exhibitor is responsible for cleaning the stand, unless he has expressly ordered the stand cleaning service. The exhibitor must avoid waste and separate unavoidable waste. Additional disposal costs will be charged according to the polluter-pays principle.

16. dismantling

  1. The stand may only be dismantled at the end of the event and within the specified dismantling times (see addendum to the General Terms and Conditions). Rented furniture must be returned or prepared for collection by the stand personnel by 19:30 on the last day of the event (clearing the furniture/cabin), rented stands by 22:00 on the first day of dismantling. The exhibitor is liable for any loss or damage up to this time.
  2. 50% of the cost of the stand rental, but at least € 250.00, will be charged as a contractual penalty if the exhibitor leaves or dismantles his stand before the end of the event.
  3. If the organizer has asserted a lien on the exhibits, these may not be removed from the stand.
  4. The organizer is entitled to dispose of exhibits left behind after dismantling at the exhibitor's expense. Damage to the floor or walls must be repaired properly, otherwise this work will be carried out by the organizer at the exhibitor's expense. Further claims for damages remain unaffected.
  5. Stands or objects not removed after the end of the dismantling period may be removed and stored by the organizer at the exhibitor's expense, without liability for loss or damage.

17 Liability, insurance, surveillance

  1. General security of the grounds and halls is provided by the organizer. The exhibitor is responsible for supervising and guarding the stand, including during set-up and dismantling times. The organizer accepts no liability for theft.
  2. The organizer accepts no liability for damage, loss, etc. occurring during the event, the set-up and dismantling periods or during transport to and from the event.
  3. Each participant is advised to take out liability insurance, stand security and insurance for their exhibition goods at their own expense. Security may also be provided jointly with other participants, but in any case only by personnel appointed by the organizer.
  4. The organizer is only liable for damage caused by his own intent or gross negligence.

18th catalog/special trade fair publication

  1. By submitting the application, the exhibitor is obliged to be listed in the exhibitor directory of the event. The entry in the official trade fair publications, e.g. catalog, website, trade fair information systems, etc. is included in the flat-rate service fee.
  2. Advertisements are only possible in the specified formats. For special placements in consultation with the organizer, the prices increase by 10 %.
  3. Claims for damages due to non-published or incorrect insertions cannot be made under any circumstances.
  4. Artwork can be supplied electronically. No commission can be paid to any agency involved.

19. photography, filming

  1. Commercial photography, drawing or filming within the exhibition grounds is only permitted to companies approved by the organizer.
  2. The organizer is entitled to make representations or recordings of exhibition stands and to use them for publication. The exhibitor waives all claims arising from copyright.

20. agreements

Verbal collateral agreements must be confirmed in writing by the organizer in order to be valid.

21. forfeiture

Any claims of the exhibitor against the organizer that are not asserted in writing within 2 weeks of the end of the event shall be forfeited.

22. place of jurisdiction

The place of performance for all obligations arising from this contract and the place of jurisdiction for all disputes arising from this contract, including actions on bills of exchange and cheques, is the place of business of the organizer.
